Terms of Service

1. Agreement to Terms

These Terms of Service govern your use of CloudNix cloud infrastructure services. By accessing or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Service Level Agreement

CloudNix provides the following service level guarantees:

  • Compute: 99.99% monthly uptime
  • Functions: 99.99% monthly uptime
  • Storage: 99.999999999% annual durability
  • API Gateway: 99.95% monthly uptime

3. Acceptable Use Policy

You may not use the Services to:

  • Violate laws or regulations
  • Infringe intellectual property rights
  • Distribute malware or conduct security attacks
  • Send spam or engage in phishing
  • Mine cryptocurrency without written approval
  • Interfere with or disrupt the Services

4. Data Protection and Security

You retain all rights to your Customer Content. CloudNix will not access, use, or disclose Customer Content except as necessary to provide the Services or as required by law. We implement industry-standard security measures including encryption, access controls, and regular security audits.

5. Fees and Payment

Fees are billed monthly based on actual usage. Payment is due within 30 days of invoice date. Late payments may result in service suspension. All fees are non-refundable except as required by law or specified in our SLA.

6. Intellectual Property

CloudNix retains all rights to the Services, including software, APIs, documentation, and trademarks. You are granted a limited, non-exclusive license to use the Services during your subscription term.

7. Warranties and Disclaimers

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. CLOUDNIX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

8. Limitation of Liability

CLOUDNIX'S TOTAL LIABILITY SHALL NOT EXCEED FEES PAID IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

9. Termination

Either party may terminate with 30 days written notice. We may suspend or terminate immediately for breach of Terms. Upon termination, you must cease using the Services and may retrieve your Customer Content within 30 days.
